Terms of Service

These Terms of Service ("Terms") govern your access to and use of bandleader.app, including its website, admin application, and any related services (collectively, the "Service"), operated by Bandleader.app ("Bandleader," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Bandleader.app is a tool for musicians and band leaders ("Band Admins") to manage gigs, rehearsals, setlists, and song catalogs, and to provide an interactive page for their audiences to make song requests, sign up for karaoke, leave feedback, and tip the band.

2. Accounts & Bands

  • You must provide accurate information when creating an account and keep your login credentials secure.
  • A Band Admin is responsible for the band("client") account they create, including inviting and managing members and subs, and for any content or settings configured within it.
  • You are responsible for all activity that occurs under your account, whether performed by you or anyone you've invited.
  • You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.

3. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Upload or transmit content that is defamatory, obscene, harassing, infringing, or otherwise objectionable.
  • Attempt to gain unauthorized access to another band's data, accounts, or any part of the Service's infrastructure.
  • Interfere with or disrupt the integrity or performance of the Service (e.g., scraping, denial-of-service, reverse engineering).
  • Use the audience-facing pages to solicit personal information from minors or to collect data for purposes unrelated to the live event.

4. User Content

"User Content" includes setlists, song catalogs, gig and rehearsal details, venue information, custom properties, audience song requests, karaoke sign-ups, feedback, and any other material submitted to the Service by you, your band members, or your audience.

  • You retain ownership of your User Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display User Content solely as necessary to operate and provide the Service to you.
  • You represent that you have the necessary rights to submit your User Content (including any song titles, setlists, charts, or recordings you upload) and that doing so does not infringe any third party's rights.
  • We are not responsible for User Content submitted by audience members or band members, but we may remove content that violates these Terms.

5. Payments, Tips & Fees

Payments and tips made through the Service (e.g., karaoke sign-up fees, song request fees, direct tips, "queue jump" tips) are processed by Stripe, a third-party payment processor. By making or receiving a payment through the Service, you also agree to Stripe's terms of service. We do not store full payment card numbers.

  • Band Admins are responsible for connecting a valid payout account and for any taxes owed on amounts received.
  • Bandleader may charge a service fee on transactions processed through the Service, as disclosed within the app.
  • Refunds, chargebacks, and disputes related to tips or payments are subject to Stripe's policies and, where applicable, the Band Admin's own refund practices.
  • We are not responsible for delays, errors, or failures caused by Stripe or other third-party payment networks.

6. Third-Party Integrations

The Service offers optional integrations with third-party services, including Google Calendar (to sync gigs/rehearsals and check availability) and Stripe (for payments). Your use of these integrations is also subject to the respective third party's terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.

7. Intellectual Property

The Service itself — including its software, design, branding, and documentation — is owned by Bandleader.app and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding except as necessary to use the Service as intended.

8. Termination

You may stop using the Service and request deletion of your account at any time by contacting us. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or harmful activity, or if required by law. Upon termination, your right to use the Service ceases, though certain provisions of these Terms (e.g., intellectual property, disclaimers, limitation of liability) will survive.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BANDLEADER.APP AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

11. Indemnification

You agree to indemnify and hold harmless Bandleader.app and its operators from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

12. Changes to the Service or These Terms

We may modify or discontinue the Service, in whole or in part, at any time. We may also update these Terms from time to time; if we make material changes, we will post the revised Terms on this page and update the "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the United States and the state in which Bandleader.app's operator resides, without regard to conflict-of-law principles, unless otherwise required by applicable local law.
